Shares outstanding refer to the total number of shares of a company's stock that have been issued and are held by all shareholders, including institutional investors, insider shareholders (company's officers, directors, or significant stakeholders), and retail investors.The number of shares outstanding can change over time due to actions such as issuing new shares, share repurchases, or because of stock splits or exchange of shares in acquisitions and mergers.Weighted-average common shares outstanding is a calculation that adjusts the number of shares outstanding for changes in the share count over a reporting period.
